ROBO-SENSEI SOFTWARE LICENSE AGREEMENT PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE. Cheng & Tsui Company, Inc. ("Cheng & Tsui") grants to the Customer ("Customer") a nonexclusive and nontransferable license to use the ROBO-SENSEI software ("Software") for one (but not both) of the following types of licenses: 1) Single User License Grant: If the Customer has purchased a Single User License ("Individual Version") of the Software, Cheng & Tsui grants to the Customer a nonexclusive and nontransferable license to use the Software on only one computer at a time. If the Customer wishes to use the Software on more than one computer at a time, the Customer must purchase a Multiple-Users License ("Institutional Version") of the Software from Cheng & Tsui. 2) Multiple Users License Grant: If the Customer has purchased an Institutional Version of the Software, Cheng & Tsui grants to the Customer a nonexclusive and nontransferable license to use the Software installed on a single file server for use on a single local area network for either (but not both) of the following purposes: (a) permanent installation onto a hard disk or other storage device of up to the Permitted Number of Computers stated in the site license agreement; or (b) use of the Software over such network. Customer may only use the Software for which Customer has paid a license fee. Customer may make one (1) archival copy of the Software provided Customer affixes to such copy all copyright, confidentiality, and proprietary notices that appear on the original. EXCEPT AS EXPRESSLY AUTHORIZED ABOVE, CUSTOMER SHALL NOT: COPY, IN WHOLE OR IN PART, SOFTWARE OR DOCUMENTATION; MODIFY THE SOFTWARE; REVERSE COMPILE OR REVERSE ASSEMBLE ALL OR ANY PORTION OF THE SOFTWARE; OR RENT, LEASE, DISTRIBUTE, SELL, NETWORK, TRANSFER OR CREATE DERIVATIVE WORKS OF THE SOFTWARE. Limited Warranty: Cheng & Tsui warrants to the original purchaser only the media on which the Software is furnished to be free from defects in material and workmanship under normal use for a period of thirty (30) days from the date of purchase. If during this time a defect in a CD-ROM disk is found, the CD-ROM and proof of purchase must be returned, and Cheng & Tsui will replace the CD-ROM at no charge to you. Except for the express warranty of the original CD-ROM set forth above, the Software is provided AS IS. In no event does Cheng & Tsui warrant that the Software is error free or that Customer will be able to operate the Software without problems or interruptions. This warranty does not apply if the Software (a) has been altered by the Customer, (b) has not been installed, operated, repaired, or maintained in accordance with instructions supplied by Cheng & Tsui, (c) has been subjected to abnormal physical or electrical stress, misuse, negligence, or accident, or (d) is used in hazardous activities. DISCLAIMER. EXCEPT FOR THE EXPRESS WARRANTY ABOVE, CHENG & TSUI GRANTS NO OTHER WARRANTIES EXPRESS OR IMPLIED, BY STATUTE OR OTHERWISE, REGARDING THE SOFTWARE, THE CD-ROM AND RELATED MATERIALS, THEIR FITNESS FOR ANY PURPOSE, THEIR QUALITY, THEIR MERCHANTABILITY, OR OTHERWISE. THE LIABILITY OF CHENG & TSUI UNDER THE WARRANTY SET FORTH ABOVE SHALL BE LIMITED TO THE AMOUNT PAID BY THE CUSTOMER FOR THE SOFTWARE. IN NO EVENT WILL CHENG & TSUI BE LIABLE FOR ANY LOST REVENUE, PROFIT, OR DATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE. Updates: Cheng and Tsui will do its best to notify the Customer of updates released to the public or major corrections and the prices at which they may be obtained, provided the Customer has registered the Software. All updates and corrections provided to the Customer shall become part of the Software and governed by the terms of this license agreement. |
